Zipy Ride does not itself provide the transportation, driving or delivery services requested through the Platform.<\/strong><\/p><p>Transportation and delivery services are performed by independent third-party providers operating their own businesses. Providers are not employees of Zipy Ride or of Zipy Ride's parent companies, subsidiaries, affiliates, commonly owned companies or related entities.<\/p><\/div><\/section>\r\n<div class=\"w layout\">\r\n<nav class=\"toc\"><strong>On this page<\/strong><a href=\"#platform\">1. Contact<\/a><\/nav>\r\n<main class=\"content\"><p class=\"intro\">By creating an account, accessing or using Zipy Ride, you agree to these Terms. If you do not agree, do not use the Platform.<\/p>\r\n<section class=\"section\" id=\"platform\"><h2><span>1.<\/span> Zipy Ride's Role \u2014 Software and Technology Only<\/h2><p>Zipy Ride provides a technology platform that allows users to request, arrange, communicate about and facilitate transportation, delivery and related services offered by independent third-party providers.<\/p><div class=\"important\"><h3>Zipy Ride is not the transportation provider.<\/h3><p>Zipy Ride does not own, operate, drive, control or manage the vehicles used by independent providers and does not itself perform the transportation or delivery service requested by a user.<\/p><p>The actual transportation or delivery service is provided by the independent provider who accepts the request. Use of the software does not make Zipy Ride the driver's employer, transportation carrier, taxi operator or operator of the provider's vehicle.<\/p><\/div><p>Platform features may include ride requests, estimated pricing, location information, scheduling, communications, payments, ratings, OTP or trip verification, safety reporting and support. Providing these technology features does not mean Zipy Ride controls or performs the underlying transportation service.<\/p><\/section>\r\n<section class=\"section\" id=\"independent\"><h2><span>2.<\/span> Independent Drivers and Providers<\/h2><p>All drivers, delivery providers, fleet operators and other transportation providers using the Platform provide their services as independent third-party businesses and not as employees of Zipy Ride.<\/p><ul><li>Providers are not employees, servants, agents, representatives, partners or joint venturers of Zipy Ride.<\/li><li>Providers are not employees of any Zipy Ride parent, subsidiary, affiliate, commonly owned company or related entity merely because they use the Platform.<\/li><li>No provider has authority to bind Zipy Ride or an affiliated company unless expressly authorized in writing.<\/li><li>Providers independently decide whether to accept or decline available requests.<\/li><li>Subject to applicable law and legitimate Platform requirements, providers are responsible for how they operate their independent businesses and perform accepted services.<\/li><li>Providers are responsible for their own taxes, expenses, equipment, vehicles, licenses, permits, registrations and legally required insurance.<\/li><\/ul><div class=\"note\"><p>The parties intend an independent business relationship, not employment. Nothing in these Terms is intended to waive or override rights or classifications that cannot lawfully be waived or determined solely by contract under applicable law.<\/p><\/div><\/section>\r\n<section class=\"section\" id=\"eligibility\"><h2><span>3.<\/span> Eligibility<\/h2><ul><li>You must be at least 18 years old or the legal age required for independent use in your jurisdiction.<\/li><li>You must provide accurate and complete information.<\/li><li>You are responsible for protecting your account credentials.<\/li><li>You are responsible for activity conducted through your account, subject to applicable law.<\/li><\/ul><\/section>\r\n<section class=\"section\" id=\"accounts\"><h2><span>4.<\/span> Account Registration<\/h2><p>Some Platform features require an account. You agree to provide truthful information, keep account information reasonably current, protect login credentials and promptly report suspected unauthorized use. Zipy Ride may restrict, suspend or terminate access for false information, fraud, safety concerns, misuse or violations of these Terms, subject to applicable law.<\/p><\/section>\r\n<section class=\"section\" id=\"services\"><h2><span>5.<\/span> Transportation and Delivery Services<\/h2><p>The Platform allows users to submit requests to participating independent providers. Availability may depend on location, provider participation, vehicle capacity, weather, traffic, road conditions, government restrictions, demand and events outside the Platform's control. Submitting a request does not guarantee acceptance, arrival at a particular time or completion of the requested service.<\/p><\/section>\r\n<section class=\"section\" id=\"fares\"><h2><span>6.<\/span> Fares, Estimates and Payments<\/h2><p>Charges may include base fares, distance, time, waiting, airport fees, tolls, parking, cancellation fees, taxes or other disclosed charges. Pricing may be calculated by Platform functionality or otherwise established for a service or provider, as displayed or communicated for the request. Amounts shown before a trip may be estimates and can change based on the actual service performed.<\/p><\/section>\r\n<section class=\"section\" id=\"cancel\"><h2><span>7.<\/span> Cancellations, Complaints and Refunds<\/h2><p>Cancellation fees may apply after a provider accepts a request, arrives at the pickup point or experiences rider-caused waiting, as disclosed by the Platform or applicable service rules. Complaints, payment disputes, chargebacks and refund requests may be reviewed using trip and payment information. Nothing in these Terms limits rights or remedies that cannot legally be excluded under applicable law.<\/p><\/section>\r\n<section class=\"section\" id=\"conduct\"><h2><span>8.<\/span> User Conduct<\/h2><p>Users must not use the Platform for unlawful activity, fraud, harassment, threats, abuse, property damage, impersonation, knowingly false information, prohibited-item transport or conduct that creates unreasonable risk to other users or providers.<\/p><\/section>\r\n<section class=\"section\" id=\"safety\"><h2><span>9.<\/span> Safety and Ride Verification<\/h2><p>Riders should review available driver and vehicle details before entering a vehicle and use OTP or other supported trip-confirmation features when available. Platform verification, ratings, support or safety features are technology tools and do not constitute a guarantee that a person, provider, vehicle or trip is risk-free.<\/p><\/section>\r\n<section class=\"section\" id=\"responsibility\"><h2><span>10.<\/span> Responsibility for Providers, Riders and Services<\/h2><div class=\"important\"><h3>Independent users are responsible for their own conduct.<\/h3><p>To the fullest extent permitted by applicable law, Zipy Ride and its affiliates are not responsible for the acts, omissions, negligence, misconduct, representations or unlawful conduct of independent providers, riders or other third parties.<\/p><p>Independent providers are responsible for the transportation or delivery services they accept and perform. Riders are responsible for their own conduct, information supplied through the Platform and compliance with applicable laws and Platform rules.<\/p><\/div><p>Displaying a provider, vehicle, rating, availability status or other information in the Platform is not a guarantee, warranty or endorsement of the provider, vehicle or service.<\/p><\/section>\r\n<section class=\"section\" id=\"insurance\"><h2><span>11.<\/span> Vehicles, Licensing, Permits and Insurance<\/h2><p>Independent providers are responsible for maintaining the licenses, permits, registrations, vehicle condition, inspections, insurance and other qualifications required by applicable law for the services they independently provide. Zipy Ride may request or review documentation as part of Platform access, but such review does not transfer the provider's legal responsibilities to Zipy Ride or guarantee continuing compliance.<\/p><\/section>\r\n<section class=\"section\" id=\"liability\"><h2><span>12.<\/span> Limitation of Liability<\/h2><p class=\"caps\">TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZIPY RIDE AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOST PROFITS OR REVENUE, OR LOSS OF DATA ARISING FROM USE OF THE PLATFORM.<\/p><p>To the fullest extent permitted by applicable law, Zipy Ride and its affiliates are not responsible for injuries, accidents, property damage, losses, delays, cancellations, route choices, driving conduct, vehicle condition, service quality or other consequences caused by an independent provider, rider, third party, traffic, weather, road conditions or events outside Zipy Ride's reasonable control.<\/p><p>Nothing in these Terms excludes or limits liability that applicable law does not permit to be excluded or limited.<\/p><\/section>\r\n<section class=\"section\" id=\"warranty\"><h2><span>13.<\/span> Platform Provided \u201cAs Available\u201d<\/h2><p>To the fullest extent permitted by law, the Platform is provided on an \u201cas available\u201d basis. Zipy Ride does not guarantee uninterrupted access, provider availability, particular arrival times, service quality, specific earnings for providers, particular routes or that every request will be accepted.<\/p><\/section>\r\n<section class=\"section\" id=\"lost\"><h2><span>14.<\/span> Lost Items<\/h2><p>Zipy Ride does not take custody of property left in an independent provider's vehicle. Support may attempt to facilitate communication between the rider and provider, but recovery, storage, return or delivery of a lost item cannot be guaranteed and may involve additional costs.<\/p><\/section>\r\n<section class=\"section\" id=\"indemnity\"><h2><span>15.<\/span> Indemnification<\/h2><p>To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, damages, costs and expenses arising from your unlawful use of the Platform, your violation of these Terms or your own acts or omissions. Any indemnification obligation is subject to rights and limitations imposed by applicable law.<\/p><\/section>\r\n<section class=\"section\" id=\"ip\"><h2><span>16.<\/span> Intellectual Property<\/h2><p>Zipy Ride software, trademarks, logos, interfaces, graphics and other Platform content are owned by Zipy Ride or its licensors, as applicable. No ownership rights are transferred to users merely through Platform access.<\/p><\/section>\r\n<section class=\"section\" id=\"suspension\"><h2><span>17.<\/span> Account Suspension or Termination<\/h2><p>Zipy Ride may restrict, suspend or terminate Platform access for violations of these Terms, fraud, misuse, safety concerns, legal requirements or other legitimate Platform-protection reasons, subject to applicable law.<\/p><\/section>\r\n<section class=\"section\" id=\"changes\"><h2><span>18.<\/span> Platform and Service Changes<\/h2><p>Zipy Ride may modify, add, suspend or discontinue Platform features, service categories, pricing functionality or portions of the Platform. Independent providers remain responsible for the services they choose to offer and accept.<\/p><\/section>\r\n<section class=\"section\" id=\"termschanges\"><h2><span>19.<\/span> Changes to These Terms<\/h2><p>Zipy Ride may update these Terms periodically. Updated Terms will be posted with a revised effective date. Where applicable law requires additional notice or consent, Zipy Ride will provide it as required.<\/p><\/section>\r\n<section class=\"section\" id=\"law\"><h2><span>20.<\/span> Governing Law<\/h2><p>These Terms are governed by the laws of Costa Rica, without regard to conflict-of-law principles, except where applicable law requires otherwise.
